Target Service: Phone Location Tracker (“Service”)

1. EXECUTION OF AGREEMENT & CORE ELIGIBILITY

• 1.1 Legal Agreement: These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and WEBPEAK OÜ ("Company", "we", "us") governing access to the Phone Location Tracker, including text, graphics, software, and associated digital content.
• 1.2 Legal Capacity & Age Threshold: The Service is restricted to individuals aged 18 or older. By accessing the app, you affirm that you possess full legal authority and capacity to enter into these Terms.
• 1.3 Associated Legal Documents: Privacy terms are governed by our Privacy Policy, which is formally incorporated into these Terms.
• 1.4 Electronic Contracting: Interactive controls such as "CONTINUE", "PAY", or "REGISTER" represent a binding digital signature. Electronic communications (including email and platform notices) carry full legal effect.
• 1.5 Unilateral Modifications: We reserve the right to revise these Terms at any time. Material changes will be preceded by direct notice; non-material updates will be posted with a revised "Last updated" date. Continued app usage after revisions constitutes acceptance.

2. OPERATIONAL SCOPE & EXPRESS DISCLAIMERS

• 2.1 Tracking Purpose & Consent Requirement: The Service operates as an assistance tool to track family members and friends ("Circles") on a private live map. All tracking requires the explicit consent of the tracked individual. You assume full responsibility and legal risk for decisions or activities tied to Service use.
• 2.2 No Performance Guarantee: Location results and features vary by user, hardware, and environment. Testimonials showcase exceptional outcomes and do not guarantee typical results.
• 2.3 Geographical & Jurisdictional Restrictions: We make no claims that the app is legal or appropriate in all jurisdictions. Access from prohibited locations is at your own initiative and risk.
• 2.4 Sanctioned Regions & Aggression Exclusions: The Service is strictly prohibited for individuals or legal entities residing in or affiliated with:

• Republic of Belarus
• Russian Federation
• Occupied regions of Ukraine (including Crimea)
• Republic of Cuba
• Islamic Republic of Iran
• Democratic People’s Republic of Korea (DPRK)
• Republic of Sudan
• Syrian Arab Republic
• Bolivarian Republic of Venezuela
• Right to Terminate: We reserve the right to immediately terminate access without refund for any user paying taxes or providing material support to states involved in aggression against Ukraine.

3. ACCOUNT SECURITY & TECHNICAL MAINTENANCE

• 3.1 Hardware Responsibility: You are solely responsible for obtaining the mobile devices, OS updates, and mobile network/internet connections required to run the Service, including standard carrier data charges.
• 3.2 Registration Accuracy: Account details must remain accurate, complete, and current. Providing false or outdated information may result in immediate account termination.
• 3.3 Credentials Confidentiality: You must safeguard your account login credentials. Promptly notify support@webpeakou.net of any suspected breach or unauthorized account access.
• 3.4 Modification & Backups: We may update, alter, or discontinue app features (free or paid) at any time without liability. While routine backup routines are conducted, we accept no responsibility for data corruption, loss, or recovery failures. Support services are provided at our sole discretion.

4. FINANCIAL TERMS & AUTOMATIC SUBSCRIPTION RENEWAL

• 4.1 Subscription Framework: Certain app features require one-time fees or recurring payments ("Subscription") managed via Google Play.
• 4.2 Recurring Billing Authorization:
  AUTOMATIC RENEWAL NOTICE
  Subscriptions automatically renew for successive terms at the standard rate unless canceled at least 24 hours prior to the expiration of the current billing cycle. You authorize Google Play to process these recurring charges.
• 4.3 Price Adjustments & Discounts: Promotional discounts apply strictly to the initial specified period; subsequent renewals revert to standard non-discounted rates. We reserve the right to modify fees with reasonable advance notice, allowing you time to cancel before changes take effect.
• 4.4 Cancellation Instructions: Uninstalling the app does not cancel an active subscription. Subscriptions must be canceled manually on Android devices:

1. Open the Google Play Store.
2. Tap Profile / Menu $\rightarrow$ Subscriptions.
3. Select Phone Location Tracker.
4. Tap Cancel Subscription and follow the prompts.

• 4.5 Refunds: Refund requests are governed by standard Google Play billing policies.

5. INTELLECTUAL PROPERTY & LIMITED EULA

• 5.1 Proprietary Ownership: All software, interfaces, text, graphics, layouts, and trademarks (excluding User Content) are owned by WEBPEAK OÜ or its licensors and are protected by US and international IP laws.
• 5.2 License Grant: We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the app for personal, non-commercial purposes.
• 5.3 IP Restrictions: You shall not sell, rent, decompile, reverse engineer, disassemble, translate, or adapt any part of the app or its source code.

6. USER CONTENT LICENSING & THIRD-PARTY PLATFORMS

• 6.1 User Content Rights: You retain copyright ownership of materials, text, photos, and messages submitted through the app ("User Content").
• 6.2 License Grant to Company: You grant us a worldwide, perpetual, royalty-free, sublicensable, assignable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, and display your User Content to operate and promote the Service. This license explicitly excludes personal data, which is governed by our Privacy Policy.
• 6.3 Content Representations: You warrant that you own or hold necessary permissions for all submitted User Content.
• 6.4 Google Play & External Websites: App access depends on third-party ecosystems like Google Play. We do not monitor, control, or assume liability for third-party links, integrated platforms, ads, or interactions with other app users. Google Play is recognized as a third-party beneficiary of these Terms.

7. ACCEPTABLE USE & SUPPORT CONDUCT PROTOCOL

• 7.1 Statutory Warranties: You affirm that you (a) are not subject to UN, US, EU, or UK sanctions lists; (b) are not located in an embargoed country or designated "terrorist supporting" state; and (c) are not listed on US restricted party registries.
• 7.2 Prohibited Activities: Users agree not to:

• Scrape, reverse-engineer, or extract code or database assets.
• Bypass paywalls or technical access controls.
• Introduce malicious files, viruses, or automated queries.
• Use the app in violation of local privacy or tracking laws.

• 7.3 Support Staff Protection Policy: Abusive, harassing, or threatening communication directed at support staff will result in immediate account termination without refund.

8. INDEMNIFICATION, WARRANTIES & LIABILITY LIMITS

• 8.1 Indemnification: You agree to defend, indemnify, and hold harmless WEBPEAK OÜ, its affiliates, officers, and partners against any claims, losses, liabilities, costs, or legal fees resulting from (i) your app usage, (ii) your User Content, or (iii) your violation of these Terms.
• 8.2 Disclaimer of Warranties:
  THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• 8.3 Liability Cap:
  MAXIMUM AGGREGATE LIABILITY CAP
  OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED STRICTLY TO THE AMOUNT PAID BY YOU TO US FOR THE SERVICE IN THE THREE (3) CALENDAR MONTHS PRECEDING THE CLAIM.
• 8.4 Indirect Damages: We are not liable for indirect, punitive, incidental, or consequential damages, lost profits, or data loss.
• 8.5 California Civil Code Waiver: California residents explicitly waive Civil Code Section 1542.

9. DISPUTE RESOLUTION, GOVERNING LAW & TERMINATION

• 9.1 Governing Law: Internal laws of the Republic of Estonia apply, explicitly excluding the UN CISG, UCC, and UCITA frameworks.
• 9.2 Mandatory Good-Faith Negotiations: Parties agree to attempt direct informal resolution for at least thirty (30) calendar days before starting court proceedings.
• 9.3 Exclusive Venue: Unresolved disputes are subject to the exclusive jurisdiction of the Estonian Courts.
• 9.4 Agreement Termination: You may terminate this contract by deleting your account, canceling active subscriptions, and removing the app. We reserve the right to suspend or terminate access immediately for cause or without cause (with a prorated refund for remaining paid subscription days). Intellectual property, liability limits, and dispute clauses survive agreement termination.
